Terms of Service

Please read these terms carefully before using Meringue.

1. Acceptance of Terms

By creating an account or using Meringue (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms form a binding agreement between you and Everywhen Software LLC (“we,” “us,” or “our”), the company operating Meringue.

2. Description of Service

Meringue is a personal recipe management application that lets you save recipes, track your pantry, plan meals, and build shopping lists. The Service is intended for personal, non-commercial use.

3. Account Registration

You sign in to Meringue using your Google or Apple account, or with an emailed sign-in link or code. By connecting a Google or Apple account you authorize us to receive your name, email address, and profile photo from the identity provider solely to create and identify your Meringue account. You are responsible for all activity that occurs under your account. You must be at least 13 years old to use the Service.

4. Free Tier and Premium Subscription

New accounts are created on the free tier, which allows you to store up to 15 recipes permanently. All other features (pantry tracking, meal planning, shopping lists, and AI-powered recipe extraction) are available on the free tier.

To store unlimited recipes, you can upgrade to Meringue Premium. Premium is available as an auto-renewing annual subscription, either for an individual or for your household. Current pricing is shown in the app at the time of purchase.

Subscriptions renew automatically each year until cancelled. You may cancel at any time from your App Store or Play Store account settings; cancellation takes effect at the end of the current billing period and you retain Premium access until that date.

We do not offer refunds for partial billing periods, except where required by applicable law.

5. User Content

You retain ownership of all content you create or upload through the Service, including recipes, notes, and photos (“User Content”). By submitting User Content, you grant us a limited, non-exclusive license to store, display, and process that content solely to provide the Service to you.

You are responsible for ensuring you have the rights to any content you upload. You must not upload content that infringes third-party intellectual property rights or violates any law.

Meringue lets you import recipes from external websites and other sources into your private library. These import tools are provided for your personal, non-commercial use only, in the same way you might clip a recipe for your own kitchen. Recipe ingredient lists and basic preparation steps are generally factual, but creative elements such as photographs, headnotes, and editorial descriptions may be protected by copyright. We keep those creative elements private to your account and do not publish them on public, unauthenticated pages. You are responsible for ensuring your use of imported content does not infringe the rights of the original creator.

6. Copyright Complaints and DMCA Takedown

We respect the intellectual property rights of others and expect our users to do the same. If you believe content available through the Service infringes a copyright you own or control, you may send a takedown notice to our designated agent. Your notice must include:

Your physical or electronic signature.
Identification of the copyrighted work you claim has been infringed.
Identification of the material you claim is infringing, with a link or description sufficient for us to locate it.
Your name, mailing address, telephone number, and email address.
A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law.
A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.

Send takedown notices to our designated agent at hello@everywhensoftware.com. We will respond to valid notices by removing or disabling access to the material, and we may terminate the accounts of repeat infringers. 7. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of these Terms.
Attempt to gain unauthorized access to any part of the Service or its infrastructure.
Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service.
Use automated tools (bots, scrapers, crawlers) to access or extract data from the Service.
Resell, sublicense, or otherwise commercialize the Service without our written permission.

We reserve the right to suspend or terminate accounts that violate these Terms.

8. Intellectual Property

All rights in the Service itself (including the software, design, trademarks, and branding) are owned by or licensed to Everywhen Software LLC. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service as described herein.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

Recipe information displayed in the Service (including nutritional estimates, if any) is for informational purposes only and is not a substitute for professional dietary advice.

Dietary and allergen filtering is provided as a convenience tool only and carries no warranty of accuracy or completeness. Allergen warnings are generated by keyword matching on ingredient names and may fail to detect allergens that are unlisted, abbreviated, or embedded in compound ingredients. Recipes imported from external sources may have incomplete ingredient lists. The absence of a warning does not mean a recipe is free of a given allergen. Always read the full ingredient list yourself before cooking for anyone with a food allergy or dietary restriction. We expressly disclaim any liability for harm arising from reliance on the dietary preference or allergen filtering features.

11. Limitation of Liability

To the fullest extent permitted by law, Everywhen Software LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising under these Terms will not exceed the amount you paid us in the 12 months preceding the claim.

12. Termination

You may delete your account at any time from your account settings, which will permanently remove your data. We may suspend or terminate your access for violation of these Terms, non-payment, or for any reason with reasonable notice. Upon termination, your license to use the Service ends immediately.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this page. For material changes, we will notify you by email or through a notice in the app at least 14 days before the changes take effect. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which Everywhen Software LLC is registered, without regard to conflict-of-law principles. Any disputes arising under these Terms will be resolved in the courts of that jurisdiction, and you consent to personal jurisdiction there.
